Summary (not a substitute for the full terms): Celebratat is a marketplace connecting birthday and event venues with families. Venue owners are independent businesses; Celebratat is not a party to individual bookings. Payments are processed by Square. By using our platform you agree to these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you and Celebratat Inc. ("Celebratat," "we," "our," or "us"), a Delaware corporation. By accessing or using celebrateat.com or any associated mobile application, subdomain, or service (collectively, the "Platform"), you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them.
If you are using the Platform on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms and that "you" refers to that entity.
If you do not agree to these Terms, do not access or use the Platform.
2. Description of Services
Celebratat operates an online marketplace and business-management platform for birthday party and event venues. Our services include, but are not limited to:
Venue discovery: a searchable catalogue of independently owned event venues filterable by location, age range, price tier, and category.
Online booking: a checkout flow that allows customers to reserve venue time slots, select packages, experiences, and add-ons, and pay deposits.
Venue administration tools: a management portal for venue owners to configure locations, rooms, packages, pricing, promotions, and availability.
FunInvite: an AI-assisted digital invitation and guest RSVP management service.
EzWaver: a digital waiver collection and storage service.
AllergyAware: a tool for capturing and surfacing allergy information during the booking flow.
AI Spotlight: an optional feature making venue data discoverable by AI assistants and search engines via a public MCP server and OpenAPI specification.
Messaging: in-platform chat between customers and venue staff.
Celebratat is a marketplace intermediary. Individual venues are operated by independent third-party businesses ("Venue Owners"). Celebratat does not own, operate, control, or inspect any venue, and is not a party to any booking agreement between a customer and a Venue Owner.
3. Accounts & Registration
3.1 Account creation
Certain features of the Platform require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.2 Account security
You must notify us immediately at support@celebrateat.com if you suspect unauthorized access to your account. Celebratat is not liable for losses arising from unauthorized account use that result from your failure to safeguard your credentials.
3.3 One account per person
Each natural person may maintain one customer account. Venue Owners may maintain one administrative account per registered business entity and may add multiple team members under that account.
3.4 Account termination
We may suspend or terminate your account at any time for material breach of these Terms, fraudulent activity, or behaviour that harms other users, Venue Owners, or Celebratat. We will endeavour to give reasonable notice except where immediate termination is required to protect platform integrity or safety.
4. Venue Owner Terms
4.1 Listing requirements
By listing a venue on the Platform you represent that: (a) you have the legal right to operate and list the venue; (b) all information you provide — including descriptions, photographs, pricing, availability, and capacity — is accurate and not misleading; and (c) your venue complies with all applicable local health, safety, fire, and licensing regulations.
4.2 Independent contractor
Venue Owners are independent contractors, not employees, agents, partners, or joint venturers of Celebratat. Nothing in these Terms creates any employment, franchise, or fiduciary relationship between Celebratat and any Venue Owner.
4.3 Subscription plans
Access to advanced features (such as multiple locations, FunInvite, EzWaver, AllergyAware, and AI Spotlight) requires a paid subscription. Subscription fees are charged in advance on a monthly basis. Plans auto-renew until cancelled. Downgrading a plan takes effect at the next billing cycle; features in excess of the new plan limits will be disabled at renewal.
4.4 Marketplace fees
Celebratat may charge a platform service fee on transactions processed through the Platform. The applicable fee schedule is set out in your account dashboard and may be updated with 30 days' notice.
4.5 Venue Owner obligations
Venue Owners are solely responsible for: honouring confirmed bookings; collecting and remitting all applicable taxes; maintaining adequate insurance coverage; providing a safe environment for guests; and resolving disputes with customers regarding the services delivered at their venue.
5. Customer Terms
5.1 Booking as a customer
When you make a booking through the Platform, you enter into a direct agreement with the Venue Owner for the use of their space and services. Celebratat facilitates the booking but is not a party to that agreement and does not guarantee the performance of any Venue Owner.
5.2 Accuracy of information
You agree to provide accurate contact information, event details, guest counts, and allergy information when making a booking. Inaccurate information may result in cancellation of your booking without refund.
5.3 Age
Bookings may only be made by persons who are 18 years of age or older. By making a booking you confirm that you meet this requirement.
5.4 Guest responsibilities
You are responsible for ensuring your guests comply with the venue's rules and policies. Damage caused by you or your guests to venue property may result in additional charges billed to the payment method on file.
6. Bookings & Payments
6.1 Payment processing
Payment processing services are provided by Square Inc. and are subject to the Square Terms of Service. By submitting a payment you authorise Celebratat and/or the relevant Venue Owner to charge your payment method for the amounts due.
6.2 Deposits
Many venues require a deposit at the time of booking. The deposit amount and any remaining balance due at the event are set by the Venue Owner and displayed during checkout. Deposits are typically non-refundable except as specified in the Venue Owner's cancellation policy.
6.3 Promo codes
Promotional codes are issued by individual Venue Owners and may be subject to restrictions on validity, minimum spend, or eligible packages. Codes cannot be combined unless stated otherwise. Celebratat is not responsible for the terms or fulfilment of Venue Owner promotions.
6.4 Failed payments
If a payment fails, your booking is not confirmed. Celebratat and the Venue Owner are not liable for slot unavailability resulting from a payment failure.
7. Cancellations & Refunds
Each Venue Owner sets their own cancellation and refund policy, which is displayed on the venue's booking page. Celebratat does not set or guarantee refund terms.
In general:
Cancellations made well in advance (typically 7+ days) may be eligible for a full or partial refund of any balance paid beyond the deposit.
Deposits are generally non-refundable.
Celebratat's platform service fee (if applicable) is non-refundable.
If you believe a Venue Owner has not honoured an approved refund, please contact us at support@celebrateat.com and we will endeavour to assist in resolving the dispute, though we cannot guarantee recovery of funds from a third-party Venue Owner.
8. Content & Conduct
8.1 User content
You retain ownership of content you upload or submit to the Platform ("User Content"), including photos, event descriptions, and messages. By submitting User Content, you grant Celebratat a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform.
8.2 Prohibited conduct
You agree not to:
Post false, misleading, or fraudulent information.
Harass, threaten, or discriminate against other users or venue staff.
Circumvent the Platform to complete bookings or payments outside of Celebratat in order to avoid platform fees.
Scrape, crawl, or harvest data from the Platform without written permission.
Introduce malware, viruses, or other harmful code.
Use the Platform to send unsolicited commercial communications (spam).
Impersonate any person or entity.
8.3 Reviews
Reviews displayed on venue listings are sourced from Google and are governed by Google's content policies. Celebratat does not edit or moderate third-party reviews.
9. Intellectual Property
The Platform and its original content, features, and functionality — including but not limited to the Celebratat name, logo, page designs, software, and AI-generated invitation art — are the exclusive property of Celebratat Inc. and are protected by applicable copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, create derivative works from, or publicly display any part of the Platform without our prior written consent. Access to the Platform does not grant you any licence to Celebratat's intellectual property.
10. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection and use of information as described in the Privacy Policy.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Celebratat does not warrant that: (a) the Platform will be uninterrupted, secure, or error-free; (b) any defects will be corrected; (c) any Venue Owner will honour a booking or provide services as described; or (d) any information on the Platform is accurate, complete, or current.
You use the Platform and make bookings entirely at your own risk. Celebratat is not responsible for the conduct of Venue Owners or other users on or off the Platform.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELEBRATAT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY BOOKING MADE THROUGH IT, EVEN IF CELEBRATAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CELEBRATAT'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CELEBRATAT (EXCLUDING PAYMENTS MADE DIRECTLY TO VENUE OWNERS) IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to indemnify, defend, and hold harmless Celebratat and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including those of a Venue Owner or guest.
14. Disputes & Governing Law
14.1 Informal resolution
Before initiating any formal legal action, you agree to contact us at legal@celebrateat.com and give Celebratat 30 days to attempt informal resolution of any dispute.
14.2 Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.
14.3 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.
14.4 Class action waiver
You and Celebratat each waive the right to participate in class-action lawsuits or class-wide arbitration. Any dispute must be brought on an individual basis.
14.5 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or misappropriation of confidential information.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on your account) or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
